1. Agreement to Terms

Welcome to MSP Navigator. These Terms of Service ("Terms") govern your access to and use of the MSP Navigator website located at msp-navigator.com ("Platform"), operated by MSP Navigator ("we," "us," or "our").

3. User Accounts

3.1 Account Registration

To access certain features of the Platform, you must create an account using a valid business email address. Personal email addresses from providers such as Gmail, Yahoo, and Outlook are not accepted for registration.

3.2 Account Responsibilities

You are responsible for:

Maintaining the confidentiality of your account credentials
All activities that occur under your account
Notifying us immediately of any unauthorized use of your account
Ensuring that all information you provide is accurate and up to date

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time for any reason, including violation of these Terms. You may also delete your account at any time by contacting us.

4. Vendor Accounts and Claims

4.1 Claiming a Vendor Page

If you are an authorized representative of a software vendor listed on our Platform, you may request to claim and manage your company's vendor page. Claim requests are subject to verification and approval by MSP Navigator.

4.2 Vendor Responsibilities

As a verified vendor, you agree to:

Provide accurate and truthful information about your company and products
Keep your vendor profile and product listings up to date
Not engage in misleading or deceptive practices
Comply with all applicable laws and regulations

4.3 Content Editing

Vendors may edit their company descriptions and product information. We reserve the right to review, modify, or remove content that violates these Terms or is otherwise inappropriate.

5. Acceptable Use

You agree not to:

Use the Platform for any unlawful purpose or in violation of any applicable laws
Attempt to gain unauthorized access to any portion of the Platform or its systems
Interfere with or disrupt the Platform or servers connected to the Platform
Use automated systems, bots, or scripts to access the Platform without our permission
Impersonate any person or entity or falsely represent your affiliation
Collect or harvest user information without consent
Post or transmit any malicious code, viruses, or harmful data
Engage in any activity that could damage, disable, or impair the Platform

6. Intellectual Property

6.1 Our Content

The Platform and its original content, features, and functionality are owned by MSP Navigator and are protected by international copyright, trademark, and other intellectual property laws. This includes our design, logos, text, graphics, and software.

6.2 User Content

By submitting content to the Platform (including vendor descriptions, product information, and reviews), you grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute such content on the Platform.

6.3 Third-Party Content

Vendor logos, product names, and related content displayed on the Platform are the property of their respective owners. We do not claim ownership of third-party trademarks or content.

7. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

WE DO NOT ENDORSE OR GUARANTEE THE ACCURACY OF VENDOR INFORMATION, PRODUCT LISTINGS, OR USER-GENERATED CONTENT. USERS SHOULD INDEPENDENTLY VERIFY INFORMATION BEFORE MAKING PURCHASING DECISIONS.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MSP NAVIGATOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE AMOUNT YOU PAID US, IF ANY, IN THE TWELVE MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to indemnify, defend, and hold harmless MSP Navigator and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

Your use of the Platform
Your violation of these Terms
Your violation of any third-party rights
Content you submit to the Platform

10. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting an announcement on the Platform or sending an email to registered users. Your continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.
